The quantum company says the deal adds enterprise network security to its post-quantum cryptography and QKD work. It expects to close in Q4 2026.
IonQ signed an agreement on 9 Oct to acquire Elisity, a zero-trust security company, according to an 8-K filed today. IonQ will pay $1.15B in stock at closing, plus up to $150M more in shares if Elisity hits revenue targets through January 2028, valuing the deal at up to $1.3B in total. That figure is a ceiling that includes the earnout, not a cash price. The share count will be set at closing from a 20-day volume-weighted average price, bounded between $33.07 and $49.61 per IonQ share. IonQ also plans a $100M pool of restricted stock units for continuing Elisity employees. IonQ says the deal combines its post-quantum cryptography and quantum key distribution work with Elisity’s enterprise platform. It expects to close in the fourth quarter of 2026, subject to closing conditions including regulatory approvals. IonQ is based in College Park, Maryland.
